1About Wiseguard

Wiseguard is an AI-powered software platform that helps individuals better understand aspects of their online privacy and digital safety.

The Platform provides software features that analyze user-submitted information and lawfully available information to generate insights, recommendations, alerts, and user-authorized automation designed to assist users in understanding their digital footprint and making informed decisions.

Wiseguard provides software.

Wiseguard does not provide:

• insurance products
• legal services
• financial advice
• credit monitoring
• identity restoration services
• managed cybersecurity services
• antivirus software
• endpoint protection
• VPN services
• law enforcement services
• guarantees against scams, fraud, cybercrime, identity theft, or misuse of personal information

The Platform assists users through software-based analysis and automation. Users remain responsible for their own decisions and actions.

2Acceptance of these Terms

By accessing or using the Platform, you confirm that you have read, understood, and agree to be bound by these Terms.

These Terms apply to all users, visitors, subscribers, and account holders.

If you access the Platform on behalf of another individual or organization, you represent that you have the authority to bind that person or organization to these Terms.

3Eligibility

You may use the Platform only if:

• you are at least 18 years of age or the legal age of majority in your jurisdiction
• you have the legal capacity to enter into a binding agreement
• your use complies with applicable laws
• your account has not previously been suspended or terminated by Wiseguard

The Platform is intended for personal, lawful use unless otherwise expressly agreed in writing.

4Definitions

For purposes of these Terms:

Account means your registered Wiseguard user account.

AI Output means any analysis, recommendation, summary, explanation, insight, or automated response generated by artificial intelligence or machine learning technologies used by the Platform.

Content means information, text, files, images, URLs, screenshots, emails, messages, metadata, or other material processed through the Platform.

Platform means the Wiseguard software platform, website, applications, browser extensions, APIs, dashboards, and related software.

Publicly Available Information means information that is lawfully accessible from public sources or made available by third parties without requiring unauthorized access.

Subscription means any free or paid access plan offered by Wiseguard.

User Content means information submitted by you to the Platform for analysis or processing.

5Your Account

Certain Platform features require a registered account.

You agree to:

• provide accurate and complete information
• keep your information up to date
• maintain the confidentiality of your credentials
• promptly notify Wiseguard if you suspect unauthorized access

You are responsible for all activities conducted through your account.

6Account Security

You must take reasonable steps to safeguard your account credentials.

You must not:

• share your password
• sell or transfer your account
• allow unauthorized persons to access your account
• attempt to access another user's account

Wiseguard may suspend or restrict access where reasonably necessary to protect users or the integrity of the Platform.

7Subscription Plans

Wiseguard offers subscription-based access to software features.

Available plans may include:

• Free plans
• Monthly subscriptions
• Annual subscriptions
• Family subscriptions (where available)
• Promotional plans
• Trial subscriptions

Features available under each plan are described on the applicable pricing page at the time of purchase.

Wiseguard may modify available plans or features from time to time.

8Free Trials

Wiseguard may offer free trials or promotional access.

If you provide a payment method when starting a free trial, your subscription may automatically convert to a paid subscription at the end of the trial period unless cancelled before renewal.

The duration, eligibility, and terms of each trial will be disclosed during sign-up.

9Subscription Billing

Paid subscriptions are billed in advance on a recurring basis according to the billing cycle selected during purchase.

By subscribing, you authorize the applicable payment processor to charge your chosen payment method for recurring subscription fees until cancelled.

Prices displayed at checkout include or exclude applicable taxes as indicated during the purchase process.

10Merchant of Record and Payment Processing

Depending on your purchase method, payments may be processed by Paddle, Apple, Google, or another authorized payment provider.

Where Paddle processes your purchase, Paddle may act as the merchant of record and will process payments in accordance with its own terms and privacy policy.

Wiseguard does not store complete payment card information.

11Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.

By purchasing a subscription, you authorize recurring charges using your selected payment method.

Renewal pricing will generally be the price in effect at the time of renewal unless otherwise disclosed.

12Cancellation

You may cancel your subscription at any time through your account settings or through the payment platform used to purchase your subscription.

Cancellation prevents future renewals but does not automatically entitle you to a refund.

Refund eligibility is governed by the Wiseguard Refund Policy and applicable law.

13Price Changes

Wiseguard may change subscription pricing from time to time.

If a price change affects an existing subscription, we will provide reasonable advance notice before the new pricing takes effect.

Continued use of the Platform after the effective date constitutes acceptance of the revised pricing.

14Taxes

You are responsible for any taxes associated with your subscription unless Wiseguard or the merchant of record is legally required to collect and remit such taxes.

15Communications

By creating an account, you consent to receive electronic communications relating to your use of the Platform, including:

• account notifications
• billing confirmations
• subscription reminders
• renewal notices
• security notifications relating to your account
• important product updates
• legal notices

Where required by applicable law, promotional communications will be sent only with your consent, and you may opt out of marketing communications at any time without affecting essential service-related communications.

16The Wiseguard Platform

Wiseguard is a subscription-based software platform that provides AI-powered analysis, informational insights, and user-authorized automation to help individuals better understand aspects of their digital footprint and online privacy.

Depending on your subscription plan and the availability of specific features in your region, the Platform may provide software features that:

• analyze websites, links, and URLs submitted by users
• analyze emails, text messages, QR codes, and similar digital content submitted by users
• identify characteristics commonly associated with online scams or deceptive content
• analyze publicly available information relating to your digital footprint
• identify publicly available personal information that may increase privacy exposure
• provide notifications regarding newly identified publicly available information
• assist with managing privacy-related requests
• provide educational content and personalized recommendations
• present dashboards, summaries, and historical activity

The Platform is continuously improved and may evolve over time.

Certain features may only be available for specific operating systems, devices, geographic regions, subscription plans, or languages.

17AI-Powered Analysis

Many Platform features rely on artificial intelligence, machine learning models, statistical techniques, and automated software processes.

AI-generated outputs may include:

• summaries
• explanations
• classifications
• recommendations
• suggested next steps
• educational guidance
• confidence indicators
• informational insights

AI-generated outputs are designed to assist users in making informed decisions.

They are not intended to replace human judgment.

18Nature of AI Outputs

Artificial intelligence systems are probabilistic.

Accordingly, AI-generated outputs may:

• be incomplete
• contain inaccuracies
• become outdated
• produce false positives
• produce false negatives
• vary over time
• differ depending on available information

You acknowledge that AI-generated outputs should be considered informational assistance only.

You remain solely responsible for evaluating any recommendation before acting upon it.

19User-Submitted Information

Many Wiseguard features operate only on information intentionally submitted by you.

Examples include:

• website addresses
• email content
• screenshots
• QR codes
• SMS messages
• documents
• files
• publicly available profile links

You represent that you have the legal authority to submit such information to the Platform.

Wiseguard does not require you to submit information that you are not legally entitled to provide.

20Publicly Available Information

Certain Platform features analyze information that is lawfully available from public or authorized sources.

Examples may include:

• publicly indexed websites
• publicly accessible search results
• public records where legally available
• publicly available people-search websites
• publicly available breach notifications
• publicly accessible online profiles

Wiseguard does not obtain information through unauthorized access, hacking, or circumvention of access controls.

The Platform analyzes only information that is lawfully available or information intentionally submitted by users.

21Privacy Exposure Insights

Wiseguard may identify publicly available information associated with you and present informational insights intended to help you better understand your digital footprint.

Examples include:

• publicly listed contact information
• publicly indexed profiles
• publicly searchable records
• information appearing on supported data broker websites
• publicly reported data breaches
• similar publicly available information

These insights are provided for informational purposes only.

Wiseguard does not guarantee that all publicly available information relating to you will be identified.

22User-Authorized Privacy Requests

The Platform includes software tools that assist users in preparing, submitting, organizing, and tracking privacy-related requests directed to supported third parties.

Depending on the applicable third party and technical capabilities, Wiseguard may:

• generate request templates
• pre-fill forms using information provided by you
• automate submission where technically supported and authorized by you
• remind you to complete manual steps
• organize responses received from third parties
• provide status updates where available

Wiseguard acts solely as a software provider facilitating user-authorized workflows.

23No Guarantee of Third-Party Action

Third parties independently determine how they respond to requests submitted by or through the Platform.

Wiseguard cannot:

• require a third party to act
• compel deletion of information
• control third-party systems
• influence third-party decisions
• guarantee response times
• guarantee acceptance of any request

Any action taken by a third party remains entirely within that third party's control.

24Educational Content

The Platform may provide educational content intended to improve users' understanding of:

• online privacy
• digital footprints
• common scam techniques
• publicly available information
• privacy best practices
• online safety concepts

Educational content is general in nature and should not be interpreted as professional advice.

25Software Availability

Wiseguard continually develops and improves the Platform.

Accordingly, we may:

• introduce new features
• modify existing features
• discontinue features
• replace third-party integrations
• update AI models
• improve software performance
• modify user interfaces

Such changes may occur without prior notice where reasonably necessary to maintain or improve the Platform.

26Beta Features

From time to time, Wiseguard may provide preview, beta, experimental, or early-access software features.

These features:

• may contain bugs
• may be incomplete
• may change substantially
• may be discontinued at any time

Your use of beta features is voluntary.

Feedback regarding beta features is appreciated but not required.

27Third-Party Integrations

Certain Platform functionality depends upon third-party software, websites, operating systems, communications providers, cloud infrastructure, or publicly available information sources.

Wiseguard does not control those third parties.

Changes made by third parties may affect Platform functionality without notice.

28Your Responsibilities

You agree to use the Platform responsibly.

You are responsible for:

• protecting your account credentials
• maintaining the security of your own devices
• reviewing AI-generated outputs before acting
• complying with applicable laws
• obtaining required permissions before submitting another person's information

29Acceptable Use

You agree to use Wiseguard only for lawful purposes.

You must not use the Platform to:

• violate applicable law
• infringe intellectual property rights
• impersonate another person
• harass or threaten others
• engage in unlawful surveillance
• facilitate fraud or deception
• distribute malicious software
• interfere with Platform operations
• bypass Platform security measures
• upload malicious code
• overload Platform infrastructure
• attempt unauthorized access
• reverse engineer the Platform except where permitted by law
• use automated systems to scrape Platform content
• build competing products using unauthorized access to the Platform

30Information Relating to Other Individuals

Some Platform features may process information relating to other individuals where submitted by you.

You represent that you have all necessary rights, permissions, and legal authority required for such submission.

Wiseguard reserves the right to refuse processing where we reasonably believe a request may violate applicable law or these Terms.

31Fraudulent or Misleading Use

You must not use the Platform to:

• create deceptive content
• impersonate government agencies
• misrepresent AI-generated outputs as verified facts
• facilitate phishing
• facilitate identity fraud
• facilitate unlawful collection of personal information
• violate privacy rights

32Suspension

Wiseguard may temporarily suspend access where reasonably necessary to:

• investigate suspected misuse
• comply with legal obligations
• protect users
• maintain Platform security
• prevent abuse
• investigate payment fraud
• protect infrastructure

Where reasonably practicable, Wiseguard will provide notice before or promptly after a suspension unless doing so would compromise security or violate applicable law.

33Feedback

If you voluntarily submit ideas, enhancement requests, comments, or suggestions relating to the Platform, you grant Wiseguard a perpetual, worldwide, royalty-free, irrevocable license to use that feedback for improving the Platform without compensation to you.

34Intellectual Property

The Platform, including its software, source code, object code, algorithms, artificial intelligence models, machine learning systems, databases, workflows, user interface, visual design, graphics, text, reports, documentation, trademarks, logos, trade names, and other materials made available through the Platform, are owned by or licensed to WALTA DIGITAL LABS PRIVATE LIMITED and are protected by applicable intellectual property laws.

Except for the limited license expressly granted under these Terms, no ownership rights are transferred to you.

Nothing in these Terms grants you any right to use Wiseguard's trademarks, branding, logos, domain names, or other proprietary identifiers without our prior written permission.

35Limited License

Subject to these Terms and your compliance with them, Wiseguard grants you a limited, personal, revocable, non-exclusive, non-transferable, and non-sublicensable license to access and use the Platform solely for its intended purpose during your active subscription.

You may not:

• reproduce the Platform
• distribute the Platform
• commercially exploit the Platform
• create derivative works based upon the Platform
• copy substantial portions of the Platform
• reverse engineer or decompile the Platform except where prohibited from restricting such rights by applicable law
• use the Platform to develop competing software

Any rights not expressly granted remain reserved by Wiseguard.

36Ownership of User Content

You retain ownership of the information and content you submit to the Platform.

Nothing in these Terms transfers ownership of your personal information to Wiseguard.

37License to Process User Content

To provide the Platform, you grant Wiseguard a limited, worldwide, non-exclusive, royalty-free license to:

• receive
• store
• process
• analyze
• organize
• display to you
• generate AI-powered outputs
• provide requested software functionality
• maintain Platform security
• improve Platform reliability
• comply with legal obligations

This license exists only for operating, maintaining, securing, and improving the Platform.

It ends when the relevant information is deleted or anonymized, subject to legal retention obligations and reasonable backup practices.

38AI Models and Platform Improvements

Wiseguard may use aggregated, anonymized, or de-identified information to:

• improve software performance
• improve AI systems
• improve fraud prevention relating to abuse of the Platform
• enhance software reliability
• improve detection of malicious use of the Platform
• develop new Platform features

Wiseguard will not use personal information for these purposes where prohibited by applicable law.

Nothing in this section authorizes Wiseguard to publicly disclose identifiable personal information.

39Privacy

Wiseguard processes personal information in accordance with its Privacy Policy.

The Privacy Policy explains:

• what information we collect
• why we collect it
• how we use it
• how long we retain it
• how we protect it
• your available rights

By using the Platform, you acknowledge that your information will be processed as described in the Privacy Policy.

40Third-Party Services

• AI model providers
• communication providers
• mapping providers
• analytics providers

These services operate independently from Wiseguard.

Wiseguard does not control and is not responsible for:

• their security

• their terms
• decisions made by them

Your use of third-party services is governed by the applicable third-party terms.

41AI Disclaimer

Artificial intelligence is an evolving technology.

Although Wiseguard continuously improves its AI systems, AI-generated outputs may:

• contain errors
• omit relevant information
• include inaccurate conclusions
• become outdated
• vary over time
• differ between similar requests

AI-generated outputs should be viewed as informational assistance only. They should not be relied upon as the sole basis for important decisions.

42Platform Disclaimer

Wiseguard is an AI-powered software platform.

The Platform provides software tools intended to help users better understand aspects of their online privacy and digital footprint through analysis, informational insights, and user-authorized automation.

Wiseguard does not guarantee:

• complete accuracy of AI-generated outputs
• uninterrupted Platform availability
• identification of every scam or deceptive communication
• identification of all publicly available personal information
• successful submission or completion of every privacy-related request
• actions taken by third parties
• permanent removal of publicly available information
• prevention of fraud
• prevention of identity theft
• elimination of online privacy risks

Users remain responsible for evaluating recommendations and deciding what actions to take.

43No Professional Advice

Information made available through the Platform is provided solely for general informational purposes.

Nothing provided through the Platform constitutes:

• legal advice
• financial advice
• tax advice
• investment advice
• insurance advice
• cybersecurity consulting
• investigative services
• regulatory advice
• professional risk assessments

Where professional advice is required, users should consult appropriately qualified professionals.

44No Warranty

To the maximum extent permitted by applicable law, the Platform is provided on an "AS IS" and "AS AVAILABLE" basis.

Wiseguard disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of:

• merchantability
• fitness for a particular purpose
• non-infringement
• uninterrupted availability
• accuracy
• reliability

Nothing in these Terms excludes warranties that cannot legally be excluded under applicable law.

45Limitation of Liability

To the maximum extent permitted by applicable law, WALTA DIGITAL LABS PRIVATE LIMITED, its affiliates, directors, officers, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to:

• use of the Platform
• inability to use the Platform
• AI-generated outputs
• actions or omissions of third parties
• publicly available information
• privacy-related requests
• software interruptions
• loss of revenue
• loss of profits
• loss of goodwill
• business interruption
• loss of data

Where liability cannot legally be excluded, Wiseguard's aggregate liability for all claims arising out of or relating to the Platform shall not exceed the greater of:

• (a) the total subscription fees paid by you to Wiseguard during the twelve (12) months immediately preceding the event giving rise to the claim; or
• (b) USD $100 (or the equivalent amount in your local currency).

Nothing in these Terms limits liability that cannot legally be excluded under applicable law.

46Indemnification

You agree to indemnify and hold harmless WALTA DIGITAL LABS PRIVATE LIMITED, its affiliates, directors, officers, employees, contractors, licensors, and service providers from and against claims, liabilities, damages, losses, reasonable legal fees, and expenses arising out of or relating to:

• your breach of these Terms
• your unlawful use of the Platform
• your violation of applicable law
• your infringement of another person's rights
• information submitted without appropriate authorization
• your negligent or intentional misconduct

Wiseguard reserves the right to assume the exclusive defense of any matter subject to indemnification, and you agree to reasonably cooperate with that defense.

47Security

Wiseguard implements commercially reasonable administrative, technical, and organizational measures designed to protect information processed through the Platform.

However, no software platform or internet-based service can guarantee absolute security.

You acknowledge that electronic communications and internet-based systems inherently involve some level of risk.

Wiseguard encourages users to maintain appropriate security practices for their own devices, accounts, and online activities.

48Termination by You

You may stop using the Platform at any time.

You may terminate your account by:

• deleting your account through available account settings
• cancelling your subscription through the applicable payment provider
• contacting Wiseguard Support

Termination of your account does not automatically entitle you to a refund.

Refund eligibility is governed by the Wiseguard Refund Policy and applicable law.

49Termination or Suspension by Wiseguard

Wiseguard may suspend or terminate your access to the Platform if we reasonably determine that:

• you have materially violated these Terms
• your use of the Platform is unlawful
• your use creates a material security or operational risk
• your actions interfere with the Platform or other users
• payment for your subscription cannot be processed
• continued access would expose Wiseguard, its users, or third parties to legal or operational risk

Where reasonably practicable, we will provide notice before termination or suspension unless doing so would compromise security, violate applicable law, or prevent us from investigating suspected abuse.

50Effect of Termination

Upon termination:

• your right to use the Platform immediately ends
• your license under these Terms terminates
• access to subscription-only features will cease
• your account may be scheduled for deletion in accordance with our Privacy Policy
• certain information may be retained where required by law, necessary for legitimate business purposes, or maintained in secure backup systems for a limited period

Termination does not affect rights or obligations that accrued before termination.

51Data Retention

Wiseguard retains information only for as long as reasonably necessary to:

• provide the Platform
• maintain account records
• comply with legal obligations
• resolve disputes
• enforce these Terms
• protect the integrity and security of the Platform

Information is deleted or anonymized in accordance with our Privacy Policy and applicable law.

52Export Controls and Sanctions

You agree not to use, access, export, or re-export the Platform in violation of applicable export control laws, trade sanctions, or other legal restrictions.

Wiseguard may restrict or discontinue access where required to comply with applicable legal or regulatory obligations.

53Compliance with Laws

You are solely responsible for ensuring that your use of the Platform complies with all laws applicable to you.

Nothing in these Terms authorizes or permits any use of the Platform that violates applicable law.

54Electronic Communications

By creating an account and using the Platform, you consent to receive electronic communications relating to your account and use of the Platform.

These communications may include:

• billing notices
• subscription confirmations
• renewal reminders
• security notifications
• service announcements
• legal notices
• customer support communications

Where required by law, marketing communications will only be sent with your consent.

Electronic communications satisfy any legal requirement that such communications be provided in writing.

55Changes to the Platform

Wiseguard continuously develops and improves the Platform.

Accordingly, we may:

• modify user interfaces
• discontinue features
• replace third-party integrations

Where a material change significantly affects paid functionality, we will use commercially reasonable efforts to provide advance notice.

57Force Majeure

Wiseguard will not be liable for delays or failures resulting from circumstances beyond our reasonable control, including:

• acts of government
• war
• terrorism
• civil unrest
• internet service disruptions
• cloud infrastructure failures
• telecommunications failures
• widespread cyber incidents affecting third-party infrastructure
• labor disputes
• epidemics or pandemics
• power outages

Performance of the affected obligations will be suspended for the duration of the relevant event.

58Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Wiseguard may assign these Terms in connection with:

• a merger
• acquisition
• financing
• corporate restructuring
• sale of assets
• change in control

These Terms are binding upon and benefit the parties and their permitted successors and assigns.

59Severability

If any provision of these Terms is determined to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

Any invalid provision will be interpreted, to the extent possible, in a manner consistent with its original purpose and applicable law.

60No Waiver

Failure by Wiseguard to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

Any waiver must be in writing and signed by an authorized representative of Wiseguard.

61Entire Agreement

These Terms, together with the Privacy Policy, Refund Policy, and any additional policies expressly incorporated by reference, constitute the entire agreement between you and WALTA DIGITAL LABS PRIVATE LIMITED regarding your use of the Platform.

They supersede all prior understandings, agreements, discussions, and representations relating to the Platform.

62Governing Law

These Terms are governed by the laws of India, without regard to conflict of law principles.

Nothing in these Terms limits any mandatory consumer rights available under the laws of your country of residence where such rights cannot legally be waived.

63Dispute Resolution

If you have a concern or dispute regarding the Platform, we encourage you to contact us first so that we can attempt to resolve the matter promptly and in good faith.

If a dispute cannot be resolved informally, it may be brought before the courts having jurisdiction over WALTA DIGITAL LABS PRIVATE LIMITED, unless applicable consumer protection laws require otherwise.

Nothing in these Terms prevents either party from seeking urgent injunctive or equitable relief where appropriate.

The following provisions survive termination of these Terms to the extent necessary for their purpose:
